Terms of Service
The short version
- Hineni Parade is a tool for playing music and sharing a map during a car parade. The organizer runs the parade and is responsible for it: permits, safety, the route and the music.
- Drivers must never handle a phone while driving. Set it up before you drive, or let a passenger handle it. Always obey traffic laws and police over anything the app shows.
- Only upload music you have the rights to play in public and share with the cars.
- The service is provided as is. Our liability is limited to what you paid us.
1. Agreement
These terms are an agreement between you and Hineni Systems (“we”, “us”) for using Hineni Parade at parade.hinenisystems.com and our other websites that link to these terms (the “Service”). By using the Service, or by creating a parade, you agree to these terms and to our Privacy Policy. If you use the Service on behalf of an organization, you confirm you can accept these terms for it.
2. What the Service does
Hineni Parade lets an organizer set up a car parade with a route, stops and music; lets cars join with a code, download the music and play it in sync; and shows a live map with the lead car. A parade can be tested free with a small number of phones and opened to more cars with a paid plan.
It’s a convenience tool, not a safety, emergency or navigation system. Directions, timings and positions can be wrong or delayed, and music sync depends on each phone, its speakers and its connection.
3. Organizers’ responsibilities
If you create a parade, you are responsible for the parade itself, including:
- getting any permits and approvals it needs, and working with local police or authorities where required;
- choosing a safe, lawful route, and briefing drivers and volunteers;
- making sure the parade follows traffic and noise laws and any conditions of your permits;
- having appropriate insurance for your event;
- the accuracy of what you publish (times, route, stops, messages to cars);
- keeping your organizer link private. It works like a password.
You must be at least 18 to create a parade.
4. Driving safely
Never use or look at your phone in a way that distracts you while driving. Mount it, set it up before you start, or let a passenger operate it. Traffic laws, road signs, police and parade marshals always come first: if they conflict with anything in the Service, follow them. Lead and last car drivers who share their location must do so hands-free.
5. Music and other content
- Your uploads. You keep ownership of what you upload. You confirm that you own, or have all the licenses and permissions needed for, the music and content you upload, including public performance at your parade and copies on participants’ phones. You give us permission to store, copy and deliver it to your parade’s participants to provide the Service.
- Library music. Songs in the Hineni Parade library are provided for use in parades run on the Service only. Don’t copy, download or reuse them for anything else.
- Messages to cars must be lawful and respectful.
- Copyright complaints. If you believe content on the Service infringes your copyright, email [email protected] with the content’s location, the work you believe is infringed, your contact details, and a statement that you have a good-faith belief the use isn’t authorized. We may remove content and disable parades that infringe or break these terms.
6. Payments and refunds
- Prices are shown before checkout. Payments are processed by Stripe under its terms. A plan activates one parade.
- You can get a full refund if you ask at least 48 hours before the parade’s scheduled start, or if the Service failed to work for your parade because of a problem on our side. Otherwise, payments aren’t refundable, except where the law requires.
- You’re responsible for any taxes that apply to your purchase, other than taxes on our income.
7. Acceptable use
Don’t use the Service to break the law or anyone’s rights; to harass, threaten or mislead people; to upload malware; to overload, probe or interfere with the Service or other people’s parades; or to get into parades or data you don’t have the link or code for.
8. Changes and availability
We may improve, change or discontinue parts of the Service. We work to keep it running, especially on parade nights, but we can’t promise it will always be available, uninterrupted or error-free. Mobile networks, phones and third-party services are outside our control.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON’T ORGANIZE, SUPERVISE OR CONTROL ANY PARADE, AND WE AREN’T RESPONSIBLE FOR THE CONDUCT OF ORGANIZERS, DRIVERS, PARTICIPANTS OR ANYONE ELSE AT A PARADE.
10. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, HINENI SYSTEMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, TRAFFIC VIOLATIONS, FINES, LOST PROFITS OR LOST DATA, ARISING FROM A PARADE OR YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR US $100. Some places don’t allow certain limits, so some of these may not apply to you.
11. Indemnity
If you organize a parade, you agree to defend and indemnify Hineni Systems against claims, damages and costs (including reasonable legal fees) arising from your parade, the content you upload, or your breach of these terms or the law.
12. Ending use
You can stop using the Service anytime and ask us to delete your parade. We may suspend or end access to a parade that breaks these terms, puts people at risk, or exposes us to legal liability. Sections 5 (licenses you gave us for delivered content), 9, 10, 11 and 13 continue after use ends.
13. Law and disputes
These terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws rules. Before filing any claim, please contact us so we can try to resolve it informally. Any dispute that isn’t resolved will be handled in the state or federal courts located in Philadelphia County, Pennsylvania, unless the law where you live gives you the right to bring it elsewhere.
14. Changes to these terms
If we change these terms, we’ll update the date at the top. If the change is significant, we’ll tell organizers by email before it takes effect. Using the Service after the change means you accept it.
